GENERAL SALES CONDITIONS

Preamble

Customer: refers to any User who places or has placed an Order.

General Sales Conditions: refers to these General Sales Conditions.

IP OVERVIEW Studies: refers to IP OVERVIEW Studies proposed by FIST SA via the IP OVERVIEW Website.

IP OVERVIEW Website: refers to the commercial website, available at the URL http://www.fist.fr/fr/ip-overview/index.html, which provides Users’ access to a series of IP OVERVIEW Studies and any possible Updates, against payment.

Legal Entity: refers to any Legal Entity which the Customer works for, in the strictest sense and therefore in particular excludes subsidiaries, parent companies and joint ventures from this definition.

Order: refers to the Customer’s demonstrated intent, which is a commitment towards FIST SA, to purchase an IP OVERVIEW Study and/or Updates from the IP OVERVIEW Website, in compliance with the provisions set forth in these General Sales Conditions.

Order Form: refers to the document which materialises the Order placed by the Customer with FIST SA.

Updates: refers to possible Updates of IP OVERVIEW Studies, undertaken and marketed by FIST SA for the purpose of updating data specified in IP OVERVIEW Studies on behalf of Customers.

User: refers to any person who connects to the IP OVERVIEW Website for the purpose of taking cognizance of proposed IP OVERVIEW Studies and/or of ordering one or several IP OVERVIEW Studies or Updates.

Article 1 – Contract purpose

1.1

Via the IP OVERVIEW Website, FIST SA markets IP OVERVIEW Studies: i.e. in particular studies relating to a strategic analysis of intellectual property and which contains market and economic information on scientific or technological subjects, including any Updates thereof.

FIST SA owns the rights to the collective works which are IP OVERVIEW Studies and Updates and declares that it holds the required rights to market and make these available.

The purpose of these General Sales Conditions is to define the terms and conditions whereby the Company FIST SA offers to sell IP OVERVIEW Studies and Updates to Users, via the IP OVERVIEW Website.

1.2

The creation of a User account on the IP OVERVIEW Website entails acceptance of these General Sales Conditions; placing an Order for an IP OVERVIEW Study entails a revision or renewed reading of these General Sales Conditions.

Any Order placed on the IP OVERVIEW Website is also subordinated to reading, understanding and accepting these General Sales Conditions in full.

The said acceptance entails the User’s waiver of any other document which sets forth stipulations other than those specified in these General Sales Conditions, such as its own general purchasing conditions.

If a User disagrees with any terms set forth herein, the latter undertakes not to place an Order.

1.3

These General Sales Conditions may be modified by FIST SA at any time and without prior notice; FIST SA therefore undertakes to publish a notice on the IP OVERVIEW Website informing of modifications to the said General Sales Conditions, shortly after the publication of new General Sales Conditions.

Each modification of the General Sales Conditions shall automatically entail an update of the date specified at the beginning of these General Sales Conditions.

No geographical restrictions prevent access to the IP OVERVIEW Website, subject to legal and regulatory provisions applicable to each User, State or territory and insofar as the Customer has an email address for the purpose of validating registration and to which FIST SA can deliver the ordered IP OVERVIEW Studies.

Article 2 – User registration / Type of User

2.1

On the IP OVERVIEW Website, Users’ registration is performed online by keying-in information, in particular personal identification, an identification code and professional address, a valid email address, a defined login and a password associated to that login for the said identification.

When placing an Order via the intangible Order Form and once the said Order has been validated, a User profile is created with the information supplied on the Order Form.

When registering on the IP OVERVIEW Website or via the Order Form, the User undertakes to provide reliable, correct, complete and up to date information, and also to ensure the correct maintenance thereof.

The User is responsible for modifying this data if it is out of date or wrong, in particular in the event of a change in the email contact address.

Information supplied by the User when registering is under the User’s responsibility; FIST SA may never be held liable for mistakes when keying-in this information. The password selected by the User is personal and confidential; FIST SA shall not be held responsible for the use thereof by any third party who has accessed the said information which belongs exclusively to the User in question.

Once registration is finished, the User can access a user profile page through the IP OVERVIEW Website via authentication using the User’s login and password, and may place Orders insofar as all boxes have been correctly filled in.

Before final validation of the online Order, the User can identify mistakes in keying-in data concerning the Order and can correct these using a specific form.

FIST SA reserves the right to delete the profile of any User who does not comply with the obligations incumbent thereon, in particular those specified in these General Sales Conditions.

2.2

The IP OVERVIEW Website and the order of IP OVERVIEW Studies and/or Updates is intended and reserved for professionals, and Users therefore declare that they are acting in their professional capacity for all operations undertaken and connected to the IP OVERVIEW Website, IP OVERVIEW Studies or Updates.

Article 3 – Ordering IP OVERVIEW Studies and/or Updates

3.1

Orders can be placed online via the IP OVERVIEW Site on the internet network, seven (7) days a week and twenty-four (24) hours a day from any State, subject to applicable legal and regulatory provisions and subject to interruptions due to technical difficulties and IP OVERVIEW Website maintenance periods.

Orders can also be placed by post or fax, using the printable Order Form available on the IP OVERVIEW Website, or specially remitted to the User.

In this case, the User must also fill in the Order Form in accordance with the instructions supplied in a separate document or on the IP OVERVIEW Website; this Order Form shall then be duly signed and stamped with the Customer’s company or organisation stamp.

The Customer then transmits this Order Form to FIST SA by post to the address stipulated in Article 1.1 of these General Sales Conditions, or by fax to the number specified in the said Article 1.1.

3.2

The User will find information on each of the subjects of IP OVERVIEW Studies in the summary of each IP OVERVIEW Study, which is available free of charge on the IP OVERVIEW Website. The said summary consists in an abstract and the table of contents of each IP OVERVIEW Study and provides information on the main characteristics of the IP OVERVIEW Study in question, but in no way commits FIST SA on its adequacy with the User’s expectations. The User shall ensure that placing an Order is indeed in the latter’s interests before continuing.

3.3

The fact that the User clicks on the tab “Order” on the “Show Cart” page or transmits an Order Form evidences the User’s firm and definitive intention of ordering the IP OVERVIEW Study without any reserves.

As soon as the User selects the aforementioned “Order” tab, his/her internet browser will access a secured page managed by BNP PARIBAS for the purpose of keying in bank account details for Order performance, for online Orders.

For Orders which are not placed online, the Order will be confirmed as soon as FIST SA receives the Order Form by post or fax, and validates the conditions thereof.

In all events, the said Order entails acceptance of these General Sales Conditions as specified at the Order time and date, subject to the correct availability of the General Sales Conditions for Users on the IP OVERVIEW Website.

When an Order is effectively undertaken, the electronic proof method is expressly acknowledged as valid by the User and by FIST SA. The User and FIST SA acknowledge that the electronically demonstration of this intention is valid as a handwritten signature.

Information supplied by the User when placing an Order is under the latter’s responsibility and FIST may not be held liable for any mistakes when undertaking the said Order.

Once the Order has been confirmed, the Customer will receive an email with an invoice, specifying the Customer’s corporate name, the purchased IP OVERVIEW Study and the tax amount if applicable, and also an URL link which enables the Customer to download the ordered IP OVERVIEW Study and/or Updates to his/her computer.

The said invoice is valid Order confirmation.

3.4

The Order Form and transaction records are kept by FIST SA throughout the legal term of contract preservation as applicable to French companies at the time the Order is placed.

Customers may request access to the resulting contract archives from FIST at any time throughout the legal filing period thereof, by sending a message which specifies their request to the email address ipoverview@frinnov.fr.

Article 4 – Price and Financial conditions

4.1

Prices implemented by FIST SA for making each IP OVERVIEW Study and Update available are those displayed at the time of Order on the IP OVERVIEW Website, or in pre-printed or downloaded Order Forms, subject to possible computerisation errors.

Prices stipulated on the IP OVERVIEW Website and the Order Form are in Euros and exclude taxes, unless otherwise stipulated. All levies and taxes applicable to payable amounts, in particular for the delivery of IP OVERVIEW Studies, shall be invoiced in addition and may vary in compliance with applicable and currently prevailing laws and regulations; these shall be paid for by the Customer, especially as regards possible import levies or taxes applicable to Customers located beyond Metropolitan France.

The prices specified on the Order Form include rebates and discounts that FIST SA may grant to Customers, in view of their activity or agreements between the parties.

When viewing the page “See basket”, Customers can select “boutique cheque code” which results in benefiting from the granted rebates and discounts, in particular in view of their activity, advertising campaigns or agreements between the Customer and FIST SA.

When an Order is confirmed, and as specified in Article 3.3, the Customer will have a secure connection to the BNP PARIBAS internet website for the purpose of providing the information required for the financial transaction which validates Order performance.

The BNP PARIBAS internet website is not hosted on the same servers as the IP OVERVIEW Website, and FIST SA cannot guarantee the correct operating or availability thereof.

As the BNP PARIBAS website is external to the IP OVERVIEW Website, it has its own conditions of use which the Customer should consult before any use.

4.2

In the event of a difference between the price specified to the Customer on the Order Form and the IP OVERVIEW Website price when the Order is performed, which does not result from a rebate or discount indicated on the Order Form, due to any reason such as a calculation mistake or mistyping, whether attributable to FIST SA or not, the current price specified on the IP OVERVIEW Website at the time of the Customer or FIST SA’s complaint shall prevail, except if it is proved that the price indicated on the IP OVERVIEW Website has been modified between the time of the Order and the time of the compliant.

If the Order is accepted and a period of time exists between the said Order, payment thereof and availability to the Customer of the IP OVERVIEW Study ordered by the latter, whether this results from a technical or other problem, the effective price shall be that indicated on the Order Form filled in by the Customer when the Order is placed.

IP OVERVIEW Study and Update prices may be freely modified by FIST SA at any time, subject to the duration of commitments undertaken by FIST SA in the framework of the transmission of pre-printed Order Forms. Modification of the said prices shall not change the financial conditions of an Order which has already been confirmed or delivered, except in the case of an exceptional and discretionary agreement from FIST SA.

4.2

The price of IP OVERVIEW Studies and Updates is payable when the Customer places the Order on the IP OVERVIEW Website, and collection thereof is accordingly performed as soon as the Order is completed.

The Customer can pay the Orders placed on the IP OVERVIEW Website with credit cards such as Visa, CB, Euro card MasterCard, and by bank transfer or cheque for Orders placed via a paper Order Form.

Payments by cheque shall be made out to FIST SA and shall be enclosed with the Order Form or sent to FIST SA at the address specified in Article 1.1 of these General Sales Conditions, and shall specify the reference of the ordered IP OVERVIEW Studies and/or Updates.

Cheques are cashed as soon as they are received.

Payments by bank transfer shall be made out to FIST SA, bank account details are as follows:

It is hereby specified that Orders which are not paid by cheque or bank transfer within seven (7) business days as of reception of the Order Form shall be considered as null and void and accordingly shall not be taken into account.

Payment by credit card is irrevocable, and in the event of a fraudulent use thereof, the User, credit card holder, shall be responsible for disputing the said payment with the bank or financial organisation which manages the credit card bank account.

No costs for the refund of such amounts shall be incumbent on FIST SA.

4.3

FIST SA reserves the possibility and right of refusing any Order placed by an establishment, organisation or individual with which FIST SA has a pending or ended, direct or indirect, dispute.

Article 5 – Delivery of Studies

FIST SA is under a best-endeavours obligation and not a performance obligation when providing its services and shall implement everything required to deliver correctly confirmed and paid Orders.

As soon as the Customer’s payment has been validated via the BNP PARIBAS banking organisation, or by cashing the relevant cheques, the IP OVERVIEW Studies and/or Updates shall be delivered to the Customer by the availability thereof, in accordance with the Customer’s choice when placing the Order.

On the IP OVERVIEW Website, the Customer can specify whether delivery of the purchased IP OVERVIEW Studies is to be performed solely on digital mediums or on both digital and hardcopy mediums, and sent by post to the professional postal address specified when keying in the User’s details.

When an Order is placed via an Order Form, the Customer can specify whether delivery of the purchased IP OVERVIEW Studies is to be performed solely on digital mediums, solely on hardcopy mediums, or on both digital and hardcopy mediums.

The Customer’s decision to receive IP OVERVIEW Studies on hardcopy shall entail invoicing of a fixed amount for carriage and printing costs in addition to the IP OVERVIEW Study price.

IP OVERVIEW Studies and/or Updates on digital mediums shall be delivered to the Customer by email with an invoice and an URL link for the direct downloading of the IP OVERVIEW Study and/or Updates on the Customer’s computer.

The Customer can download IP OVERVIEW Studies and/or Updates up to three (3) times by using the supplied URL link, in the event of any technical problem during successive downloads to his/her computer.

The URL link will stay active for twenty-four hours (24); the Customer will not be able to access ordered IP OVERVIEW Studies and/or Updates beyond this deadline. Accordingly, the Customer declares that he/she is responsible for downloading the ordered IP OVERVIEW Studies and/or Updates within the said deadline, under penalty of no longer being able to access the said IP OVERVIEW Studies and/or Updates.

Ordered IP OVERVIEW Studies and Updates are delivered to the Customer in “PDF" format (Portable Document Format) via the IP OVERVIEW Website.

In order to be able to view the ordered and downloaded IP OVERVIEW Studies and Updates, the Customer must have an up to date version of Adobe Acrobat Reader, Preview or any other software which can read PDF files depending on the software platform used by the Customer; this responsibility is incumbent on the Customer alone.

The Customer shall inform FIST SA of any technical problem which prevents his/her normal consultation of IP OVERVIEW Studies and/or Updates, previously correctly ordered on the IP OVERVIEW Website or via an Order Form, by sending an email to the address ipoverview@frinnov.fr, by fax or telephone during business days and hours, at the following numbers:

FIST SA undertakes to resupply the ordered IP OVERVIEW Studies and/or Updates as a document attached to an email if such an incident occurs, subject to the Customer’s intelligible, not insulting and apparently grounded communication. The said email shall be sent to the address specified in the profile of the User who placed the Order and will be sent as soon as possible as of the business day following information on the technical problem.

If the IP OVERVIEW Study and/or Updates ordered by the Customer from the IP OVERVIEW Website or via an Order Form cannot be delivered within fifteen (15) business days following full information on the problem, for any reason, in particular technical, and whoever may be responsible for the said problem, the Order may be cancelled ipso jure pursuant to simple request from the Customer and in such a case the latter will be credited for the amount paid for the Order, except if FIST SA can prove that it has suffered a force majeure event, as defined in these General Sales Conditions. In all events the Customer undertakes not to take legal action against FIST SA for the payment of any damages due to the impossibility of performing an Order or delivering an Order to the said Customer.

Nevertheless, if the Customer were to order more than ten (10) IP OVERVIEW Studies and/or Updates on hardcopy, a supplementary delivery period may be required by FIST SA to perform delivery; the aforementioned deadline would then be extended from fifteen (15) business days to twenty-five (25) business days.

Article 6 – Warranty

FIST SA will undertake everything necessary to ensure access to the IP OVERVIEW Website, subject to interruptions resulting from technical difficulties and maintenance periods.

If the Customer wants to receive a hardcopy of the ordered IP OVERVIEW Study, FIST SA undertakes to produce the said hardcopy and entrust this to a selected postal operator for delivery to the address specified by the Customer. In all events, FIST SA shall never be held responsible for any problem which may occur when sending IP OVERVIEW Studies to the Customer.

Users and Customers declare and warrant that they are free to contract the Orders placed via the IP OVERVIEW Website or the Order Form, in particular with respect to any current agreements with third parties for these General Sales Conditions, and hold the legal powers and capacity to undertake the said Orders and to accept these General Sales Conditions.

Users and Customers declare that they understand that they use and may place Orders for IP OVERVIEW Studies and Updates on the IP OVERVIEW Website at their risk and perils and that they are solely responsible for any direct or indirect damages which this may cause to their hardware and/or software data-processing systems, due to consulting the IP OVERVIEW Website, IP OVERVIEW Studies and/or Updates.

FIST SA does not ensure Customers that IP OVERVIEW Studies and Updates made available thereto meet their requirements as regards usefulness, adaptation and compliance or in any way whatsoever, which the Customers declare they understand.

Customers alone are responsible for ensuring that IP OVERVIEW Studies and Updates including the consultation thereof comply with applicable laws and regulations in their territory.

In no case shall FIST SA be held responsible for any inappropriate use of the IP OVERVIEW Website, IP OVERVIEW Studies and/or Updates, or any use which may result in a prejudice for the Customer, a User or any third party.

FIST SA shall not be held responsible for any direct or indirect damages which occur or are related to these General Sales Conditions, nor for any actions or operations by Users and Customers or third parties who operate beyond the control of FIST SA.

Users and Customers expressly agree that FIST SA shall not be blamed for any financial or commercial prejudice, for example; a reduction in turnover, loss of profit, loss of order, clientele or brand image, commercial disruption or income shortfall.

In all events, FIST SA liability concerning the performance of these General Sales Conditions or any Order undertaken via the IP OVERVIEW Website shall not exceed the amounts paid by the plaintiff Customer in the scope of this Order, for whatever reason and on the grounds of whatever liability held by FIST SA.

Article 7 - Force majeure event

The Customer and/or FIST SA shall not held responsible for the losses or damages caused to the other party which result from the delay or performance default of an obligation specified in these General Sales Conditions, insofar as the said delay or default results from a force majeure event as understood by French Courts.

A force majeure event is any event which is reasonably unforeseeable, irresistible and insurmountable; the Customer and FIST SA agree that in particular this includes any damages caused by nature (storms, flooding, earthquakes, or any natural disaster), epidemic, fire, accident, war, terrorist attack, sabotage, uprising, riot, labour dispute, spontaneous work stoppage or slowdown, internal or external strikes, lock-out, blob invasion, modification of the market conditions, telecommunication or electricity shortage, Government act, court or public authority order.

As necessary, whichever party (Customer or FIST SA) which is released from its obligations due to a force majeure event and when possible, shall implement the necessary measures to stop the action or event which renders the performance of these General Sales Conditions impossible, or if this is not possible, to mitigate the impact thereof.

In such circumstances and for as long as the impediment exists, the creditor of the non-performable obligation may implement the appropriate measures to reduce the prejudice suffered, without replying for losses which such temporary measures may cause to the debtor of the non-performable obligation.

Article 8 - Right of withdrawal

As professional capacity is required to be able to order IP OVERVIEW Studies and/or Updates via the IP OVERVIEW Website or via an Order Form, the Customer is not entitled to any right of withdrawal subsequently to Order validation, in compliance with the provisions of French law applicable to these General Sales Conditions, as specified in Article 17.

Article 9 – Personal Data

FIST SA backups a copy of data registered by Users when creating their registration as specified in Article 2 of these General Sales Conditions and when placing an Order, except for the banking details provided by Customers.

Users and Customers hereby grant FIST SA the right to use the thereby collected nominative data (email address, name and surname, IP address) for the purpose of contacting the latter and proposing services or products similar to those offered on the IP OVERVIEW Website.

However it is understood that FIST SA undertakes not to transmit the said Users’ and/or Customers’ nominative and associated data to any third party, whether with or without financial benefit, for any utilisation whatsoever, subject to applicable legal and regulatory provisions or any legal decision which requires the production of the said data.

In compliance with Law N° 78-17 “Data Protection Act” of January 6, 1978, in particular amended by Law N° 2006-64 of January 23, 2006, Users and Customers have a permanent right of access and rectification to the said personal data, and a right of deletion of the list of contacts filed by FIST SA in the framework of marketing operations.

In order to exercise this right, concerned Users and/or Customers must send an email to the address ipoverview@frinnov.fr, or a letter to the postal address of FIST SA, precisely specifying their request.

The automated processing of personal data which contains information relating to Customers and Users is declared to the CNIL (French data protection authority) under number 1312443.

Article 10 – Publicity

Customers expressly authorise FIST SA to specify their name or trade name as a commercial reference and to use the said name on such grounds on the IP OVERVIEW Website and in the scope of marketing documents.

Article 11 - Intellectual Property

Information specified on the IP OVERVIEW Website, on Order Forms, IP OVERVIEW Studies, Updates and summaries and abstracts, the supporting schemas, logos and trademarks used on the IP OVERVIEW Website and which belong to FIST SA, or which are used with their owners’ permission, are protected by international intellectual property treaties and by French copyright.

Ordering an IP OVERVIEW Study and/or Update only gives the right to access the contents of the said IP OVERVIEW Study and/or Update, and only grants rights for their use within the strict framework specified here under.

Accordingly, ordering an IP OVERVIEW Study and/or Update does not result in the transfer or concession of reproduction, purpose, exploitation, distribution, representation and adaptation rights to the said IP OVERVIEW Study, Update and contents thereof, whether on digital or hardcopy medium.

Accordingly, the Customer may not reproduce, re-use for purposes other that those specified in these General Sales Conditions, resell, license, lease, financially or otherwise, redistribute, diffuse, represent, translate, adapt, under any form or using any means, the IP OVERVIEW Studies and Updates, unless previously agreed to in writing by FIST SA, and subject to the specific exceptions here under.

The Customer is entitled to use the IP OVERVIEW Studies and Updates duly acquired from FIST SA, but this is restricted to the normal context of professional activity and under the condition that this does not involve a distribution beyond the strict limits of the Legal Entity to which he/she belongs or which is at the origin of the Order.

Therefore the Customer must ensure compliance with the non-distribution beyond this Legal Entity and the commitment of the various addressees of the said IP OVERVIEW Studies and Updates to comply with the obligations specified in these General Sales Conditions.

The Customer shall also be entitled to use short and non-substantial extracts from IP OVERVIEW Studies and/or Updates in the strict framework of his/her activity for communications beyond the Legal Entity to which the latter belongs, under the condition that the IP OVERVIEW service and the www.frinnov.fr website are expressly and distinctly quoted as the origin of the information set forth in such extracts, that the quotation does not harm the image or activity of FIST SA in any manner whatsoever, and that FIST SA reserves all rights of use to the said extracts.

This possibility offered to Customers is an exception to the aforementioned restrictions and shall be restrictively interpreted in the event of any litigation between the Customer and FIST SA with respect to the scope of use of the said extract or the nature thereof.

Article 12 – No-Partnership

These General Sales Conditions shall not be construed as creating a partnership between the Customer, the User and FIST SA, nor as supplying one of the latter with the capacity of representative, agent or legal representative of the other party.

Accordingly, the Customer, the User and FIST SA undertake not to invoke this connection for the purpose of misleading any third party as to the relationship between the said parties and not to undertake any commitment in the name or on behalf of the other parties.

Article 13 –  Integrality and modifications of the General Sales Conditions

These General Sales Conditions express the Customer, User and FIST SA’s full obligations as regards the subject matter thereof. No general or specific condition set forth in any document issued or transmitted by the said parties shall become part of these General Sales Conditions, in particular Customers’ General Purchasing Conditions; these General Sales Conditions shall prevail over any other type of existing document in the event of a disagreement between the parties.

These General Sales Conditions may be modified by FIST SA at any time without warning. Any User who does not wish to subscribe to these General Sales Conditions undertakes not to place any Orders on the IP OVERVIEW Website or via an Order Form.

Article 14 – Invalidity of a clause

If one or several stipulations set forth in these General Sales Conditions were found to be invalid or were declared as such in application of a law or regulation - in particular European Union law - or pursuant to a final decision delivered by a competent court, the other stipulations would maintain their entire force and scope and would be interpreted in such a manner as to express the general spirit which prevailed when these General Sales Conditions were drafted.

Article 15 – Waiver

The fact that FIST SA does not invoke a breach by the User or Customer of any one of the obligations set forth in these General Sales Conditions shall not be construed as a future waiver of the obligation in question.

Article 16 – Transfer of rights

The supply of IP OVERVIEW Studies and Updates and the concession of rights as specified in these General Sales Conditions to the Customer are personal and may not be transferred to any third party. Accordingly, the Customer is not entitled to sell or transfer, with or without financial compensation, the benefit of the rights and ownership of IP OVERVIEW Studies and Updates purchased via the IP OVERVIEW Website to any party, without FIST SA’s prior written permission.

Article 17 – Litigation and applicable law

These General Sales Conditions are governed by French laws and regulations.

In the event of any difficulty concerning the validity, interpretation or performance of these General Sales Conditions, the Customers, Users and FIST SA shall endeavour to settle their dispute out of court.

In the event of continued disagreement, lasting more than three (3) months as of first notification of such disagreement, the dispute shall be referred to the Commercial Court of Paris, or to the competent Court of Paris, notwithstanding any warranty proceedings, the existence of several defendants or any conflict of applicable law.

This Article shall continue to be valid during ten (10) years subsequently to any Order placed by the Customer on the IP OVERVIEW Website or via an Order Form, or after a User’s last visit.
